How to open a “j.d.o.o.” or a “d.o.o.” company?

With entry into force of regulations on the methods of entry into the court registry (NN 22/12), electronic registration of a limited liability company with shared capital paid in cash is enabled through the service e-Tvrtka from any notary public office or Hitro.hr office to any of the Commercial Courts 24 hours a day, 7 days a week.

Company registration process:

  1. Selecting a company name
  2. Verification by a public notary
  3. Submission of documentation and payment of fees
  4. Taking the documentation and opening a bank account

 

  1. The name of the company

First you need to choose the name for the company. Hitro.hr can check for you if there is already a company with a same or similar name. For that reason it is recommended to prepare a few alternative names. While choosing the company name use the portal sudreg.pravosudje.hr.

 

  1. Public notary

Application for entry into court register (form Po) and some of its attachments are required to be verified by a public notary. At a public notary office you must have an ID card or a passport (mandatory for foreign citizens). The presence of all founders and other persons whose signatures must be verified is mandatory.

After the verification, the public notary transmits documentation electronically to the Hitro.hr office (see e-Tvrtka service).

 

  1. Submission of documentation and payment fees

Submit your application for entry into the court register (with all the necessary attachments verified by a public notary) at the Hitro.hr office. You will receive a payment slip for the founding deposit and court fees at the Hitro.hr office.

After the payment is made, Hitro.hr office will complete your case and forward it to the competent Commercial Court electronically (e-Tvrtka) or submit paper documentation if the conditions for electronic submission are not fulfilled. If the documentation submitted electronically is correct and complete, the Commercial Court will register the company in the court register within 24 hours and electronically submit to the Hitro.hr office a decision on establishment and a certificate of OIB of the newly established company.

If paper documentation is submitted to the Commercial Court, the deadline for registration of the company into court register is 5 days and the decision on the establishment and the certificate of OIB by Hitro.hr office can be taken in paper form at the Commercial Court.

At the Hitro.hr office you will receive and fill out the RPS form that is required to receive a notification on classification of a business entity by the National Classification of activities of the Croatian Bureau of Statistics (assignment of an identification number and the main activity code).

Hitro.hr office will, after receiving the decision of establishment company, automatically electronically obtain the notification of the Croatian Bureau of Statistics, within one working day.

 

  1. Taking the documentation and opening a bank account

You can take the decision on entry into the court register and the notification of classification of a business entity according to the National Classification of activities with a registered business number at the counter in the Hitro.hr office.

You can arrange the opening of a bank account at the counter of the Hitro.hr office (for those banks for which FINA opens the account or mediates it). The company, the owner of the company and employees of the company need to be registered in the pension insurance system (HZMO – e-Mirovinsko). In addition to registering a company for retirement insurance it is also necessary to register it in the health insurance system (HZZO – e-Zdravstveno). The company must also be registered with the Tax Administration.
