You have decided to open a limited liability company in Slovenia and you do not know what to pay attention to and where to start from? No problem, here we bring you everything you need to know.

There are no conditions that limit the way a company is founded in Slovenia – anyone can register a company, and the procedure is the same for all EU citizens, EEA members, and citizens of the Swiss Confederation.

The first thing you need as a foreign entrepreneur to open a company is a Slovenian tax number. The documents you need to obtain the Slovene tax number for a foreign natural person who is the owner and/or representative of the company are:

• copies of passports and information on the address of permanent residence;
• certificate of tax residence from the country in which the taxable person is authorized.

Once you have received the Slovenian tax number, the registration process begins, for which you need the following information:

• The company name must be different from the names of other companies. Before registration, make sure that the name has not been used already, and you can do so in the AJPES business register.

• Company representatives – all types of companies (except individual traders) must appoint at least one company director. Several directors and an additional procurator may be appointed. A director who is not employed, not a student, or retired must be employed by the company.

• The registered office and business address of the company must be set before the company is established. The headquarters is the place where the company’s activities are performed. The business address is also located at the headquarters (street and number).

• Company activities – No special conditions apply for the establishment of a company; therefore anyone can form a company. All conditions apply to the company’s business. In the case of some activities, certain conditions need to be met before trading can begin. The company must obtain permits or ensure that operations are performed by a fully qualified person. These conditions are known as entry conditions. Some activities do not have any conditions – they are not regulated. The conditions of enrollment can be checked in the list of regulated activities.

• Legal forms of companies in Slovenia – establishing a company is simple and quick, and it should take less than three days from submitting the application.

After the necessary data on the future company, it is necessary to state the amount of the company’s share capital, and the minimum amount is 7,500 €. Also, it is necessary to open a temporary bank account where you deposit the share capital and apply for registration of d.o.o. in the court register. The company is established by a court decision that you receive at the business address of the company.
